1. License Grant
The CallMeter platform and all associated software, including but not limited to the web application, APIs, CLI tools, and documentation (collectively, the "Software"), are proprietary software owned by CallMeter ("we," "us," or "our").
Subject to your compliance with the Terms of Service and the payment of all applicable fees, CallMeter grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business purposes during the term of your subscription.
This license is personal to you (or your organization, if subscribed under a business entity) and does not convey any ownership interest in the Software. The scope of your license is determined by your subscription plan, which governs:
- The number of authorized users who may access the Software under your account
- Usage limits including concurrent tests, test duration, and API call volume
- Access to specific features and capabilities
- Data retention periods for test results and analytics
2. Restrictions
Except as expressly permitted under these terms or applicable law, you shall not, and shall not permit any third party to:
- Copy, reproduce, modify, adapt, or create derivative works of the Software or any part thereof
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying architecture of the Software
- Rent, lease, lend, sell, sublicense, assign, or distribute the Software or access to the Software to any third party
- Use the Software to develop a competing product or service, or to benchmark the Software for competitive purposes without CallMeter's prior written consent
- Remove, obscure, or alter any proprietary notices, labels, trademarks, or branding on or within the Software
- Use the Software in any manner that violates applicable laws, regulations, or the Acceptable Use Policy set forth in the Terms of Service
- Access or use the Software beyond the scope of your subscription plan, including exceeding usage limits or accessing features not included in your plan
- Use automated tools (scrapers, bots) to extract data from the Software except through our official APIs
- Share, publish, or disclose your API keys, authentication tokens, or account credentials to unauthorized parties
Nothing in this section shall restrict any rights you may have under applicable law that cannot be waived by contract, including rights under the EU Software Directive (2009/24/EC) regarding decompilation for interoperability.
3. API and SDK Terms
CallMeter provides REST APIs and a CLI tool to enable programmatic interaction with the Service. Your use of these interfaces is subject to the following additional terms:
REST API
- API access is included with your subscription plan and subject to the rate limits and quotas defined for your plan tier
- API keys are confidential and must not be shared, published in public repositories, or embedded in client-side code
- You must implement reasonable error handling and respect rate limit headers returned by the API
- CallMeter reserves the right to throttle or suspend API access in cases of abuse or excessive usage that degrades service for other users
- API documentation is available at docs.callmeter.io/api
CLI Tool
- The CallMeter CLI tool is provided under the same license terms as the main platform
- You may install the CLI on machines you own or control for the purpose of interacting with your CallMeter account
- The CLI tool must not be redistributed, repackaged, or included in third-party software distributions without prior written consent
- Automated use of the CLI (e.g., in CI/CD pipelines) is permitted and encouraged within your plan's usage limits
4. Open-Source Attributions
CallMeter incorporates open-source software components in its platform. A complete list of open-source components and their applicable licenses is available upon request by contacting licensing@callmeter.io.
5. Intellectual Property
All intellectual property rights in the CallMeter platform, excluding third-party open-source components, are and shall remain the exclusive property of CallMeter. This includes, but is not limited to:
- Software: Proprietary source code, compiled binaries, and system architecture
- Design: User interface designs, visual layouts, icons, and graphics
- Branding: The CallMeter name, logo, trademarks, and trade dress
- Content: Documentation, tutorials, help articles, and marketing materials
- Technology: Algorithms, data models, analytical methods, and testing methodologies
- Data: Aggregated and anonymized platform performance data and benchmarks
Nothing in these terms or your subscription grants you any rights to CallMeter's intellectual property beyond the limited license set forth in Section 1.
6. Export Compliance
The Software may be subject to export control and sanctions laws of the United States and other jurisdictions, including the U.S. Export Administration Regulations (EAR) and regulations administered by the Office of Foreign Assets Control (OFAC).
By using the Software, you represent and warrant that:
- You are not located in, a national or resident of, or under the control of any country subject to comprehensive U.S. sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine)
- You are not listed on any U.S. government restricted party list, including the OFAC Specially Designated Nationals (SDN) List or the Commerce Department Entity List
- You will not export, re-export, or transfer the Software or any technical data to any prohibited country, entity, or person
- You will comply with all applicable export control and sanctions laws and regulations in connection with your use of the Software
